These Guidelines are designed to establish a framework for the services between clients and BrushStroke AI Limited (“BSAI”).
Definitions
Services: This encompasses all services provided by BSAI, including cloud-based applications, software development, data management and storage, software consulting, and website usage.
Online: Refers to digital services accessible via the internet.
Offline: Pertains to services that are either physical or digital but not available on the public internet.
Artificial Intelligence (AI): Denotes computer systems designed to perform tasks that typically require human intelligence. This includes learning from data, processing natural language, and recognizing patterns.
BSAI Role
BSAI acts as a technology intermediary in AI, developing software that integrates third-party AI models.
BSAI may use proprietary data (“Data”) provided by clients to train and process these models to generate outputs. Adaptations of Data are solely for service customization while preserving the integrity of the Data within the capabilities of the third-party models.
Clients are solely responsible for the accuracy and legality of any Data they provide.
Usage Requirements
Terms of Service: Each BSAI service or project is governed by its own dedicated Terms of Service (TAS) that outlines the rights and obligations pertaining to the usage of the Services. Clients must comply with these TAS and all applicable laws.
Usage Restrictions
Clients are prohibited from:
Infringing Rights: Using the Services in ways that infringe on any rights, including intellectual property, privacy, or other legal rights of individuals or entities.
Reverse Engineering: Attempting to reverse engineer any part of the Services, including but not limited to software code, software services, legal documentation, or any other product, document, or service derived from the Services.
Misrepresentation: Misrepresenting AI-generated outputs as human-generated, which could mislead others about the nature of the content.
Personal Data Privacy: Submitting personal information of children under the age of 13, or under the applicable age of digital consent in your jurisdiction, without appropriate consents.
Content
Input and Output: Clients may provide data input (“Input”) and receive data output (“Output”) from the Services, both of which are collectively referred to as “Content.”
Ownership: Clients retain ownership of all Input, subject to adherence to the Terms of Service (TAS).
Rights to Output: Clients may receive exclusive or non-exclusive rights to the Output, depending on commercial requirements and applicable laws and regulations.
Compliance: Clients are responsible for ensuring that their Content complies with applicable laws and these Terms.
Payment Terms
Clients are responsible for timely payments as detailed in issued invoices.
Late payments may incur charges and additional collection costs.
All payments are non-refundable and do not include taxes.
Term and Termination
These Terms are effective upon the signing of the STAS and remain in effect until terminated.
BSAI reserves the right to terminate these Terms under certain conditions, such as breaches or security risks.
Confidentiality obligations survive the termination of these Terms.
General Terms
Use of BSAI’s trademarks and copyrights requires prior written consent.
These Guidelines are governed by the laws of Hong Kong, China.
